Retention
Throughout the duration of this engagement, and as mutually agreed
upon by ADTS and the Client, ADTS shall provide Client with advice
re- exchange direct listing, compliance, SEC filings, and
administrative services such as structuring, filing, and S-1 under
the 1934 Act, in addition to Reg D and Reg S. under the Securities
Act of 1933, NASDAQ, FINRA, and NASDAQ applications, to list on
the NASDAQ.
Cooperation
The Client shall furnish ADTS with all current and historical
materials and information regarding the business and financial
condition of the Client relevant to the Financing, and all other
information and data, and access to the Client’s officers,
directors, employees and professional advisors, which ADTS
reasonably requests in connection with company’s activities
hereunder. All such materials, information and data shall, to the
Client’s knowledge, not include any misleading statements of a
material fact, in light of the circumstances in which such
statements are made. The Client agrees to promptly advise ADTS of
all developments materially affecting the Client, any proposed
completeness or accuracy of the information previously furnished
to ADTS and agrees that no material initiatives relating to the
proposed filing will be taken without ADTS having been consulted
in advance thereof.
Post IPO Services
After IPO services, the contract is for minimum 2 years, so, what
that entail is further guidance regarding compliance, stock
tenders, funding and other nuances in regard to keeping your
company's listing onto the Nasdaq and helping it grow. So, for
